TD Bank Group (TSE:TD) proposes to sell its full 10.1% equity stake in The Charles Schwab Corporation (NYSE:SCHW) for approximately $14.9 billion. The decision is part of TD's strategic assessment of capital allocation, which aims to reinvest earnings in its core operations and support a major stock repurchase program.
TD presently owns 184.7 million shares of Schwab's common stock, which was acquired via Schwab's 2020 acquisition of TD Ameritrade, TD's former online brokerage subsidiary. As part of the arrangement, Schwab has committed to repurchase $1.5 billion of its shares from TD, subject to the offering's completion.
Raymond Chun, Group President and CEO of TD Bank Group, underscored the bank's pleasure with the profits earned from its Schwab investments. “As part of our strategic review, we evaluated capital allocation and decided to exit our Schwab investment.” “We are very pleased with the strong return we are getting on the Schwab shares we bought in 2020,” Chun said.

TD intends to use C$8 billion of the proceeds to repurchase its own stock, indicating confidence in its growth prospects. The remaining money will be reinvested in its companies to improve customer service, boost performance, and accelerate organic growth.
Despite the divestiture, TD will continue to do business with Schwab under the Insured Deposit Account (IDA) Agreement. TD Securities and Goldman Sachs will oversee the secondary offering of Schwab shares, and Schwab has filed a preliminary prospectus supplement with the Securities and Exchange Commission.
This strategic action demonstrates TD's commitment to streamlining its capital structure and reinvesting in its core activities. The decision to sell its Schwab holding represents a measured adjustment in objectives, which is consistent with the bank's long-term development plan.
